These Terms of Use (“Terms”) are a legal agreement between you and MHD Marketing, LLC (“LeadBid,” “Company,” “we,” “us,” or “our”) governing your access to and use of the LeadBid website and services available at lead-bid.com (the “Site” and, together with any related products or services, the “Service”).
BY ACCESSING OR USING THE SERVICE, YOU AGREE TO THESE TERMS. YOU REPRESENT THAT YOU ARE AT LEAST 18 YEARS OLD AND HAVE AUTHORITY TO BIND YOUR COMPANY (IF APPLICABLE). IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.
These Terms include a binding arbitration provision and class action waiver (see §16).
1. Definitions
Buyer: a real-estate investor or business that purchases access to Lead Data via the Service.
Lead Data: landowner/seller information submitted through our “sell my land” sites or partner forms (e.g., name, name on title, phone, email, acreage, property address).
User Content: any content you submit or upload to the Service (excluding Lead Data provided by LeadBid).
2. The Service; License
2.1 Description. LeadBid is a marketing intermediary that collects Lead Data from property owners (“Sellers”) and makes such Lead Data available to Buyers for the legitimate purpose of evaluating potential land acquisitions.
2.2 License. Subject to these Terms, LeadBid grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for your internal business purposes. We reserve all rights not expressly granted.
2.3 Changes. We may modify, suspend, or discontinue any part of the Service at any time. We will use reasonable efforts to provide notice of material changes.
3. Accounts & Security
You must provide accurate account information and keep it updated. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. Notify us immediately of any unauthorized use.
4. Buyer Responsibilities; Compliance; Lead Use Restrictions
4.1 Compliance. Buyer is solely responsible for ensuring that all outreach to Sellers (calls, texts, emails, mailers, etc.) complies with applicable laws, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM, State Do-Not-Call regulations, and any other telemarketing or privacy laws.
4.2 Permitted Use. Lead Data may be used only for Buyer’s internal, legitimate real-estate acquisition purposes for the property submitted. You may not:
resell, transfer, sublicense, publish, or otherwise disclose Lead Data to any third party;
use Lead Data for any purpose unrelated to evaluating/negotiating a potential land transaction;
use Lead Data for harassment, discrimination, or unlawful purposes;
combine Lead Data with other datasets for creating consumer profiles unrelated to acquisition outreach.
4.3 Confidentiality. Lead Data is confidential information of LeadBid and the Seller. Buyer must protect it with at least reasonable care and limit access to personnel who have a business need to know.
4.4 Non-Circumvention. You will not circumvent the Service to avoid applicable fees by directly sourcing, scraping, or contacting Sellers obtained through LeadBid’s properties or campaigns other than via the Service.
4.5 Compliance; Opt-Outs and Recordkeeping. Buyer will (a) maintain internal Do-Not-Call and suppression lists; (b) promptly honor any opt-out or “do not contact” request; and (c) keep records sufficient to demonstrate compliance with TCPA, CAN-SPAM, and Do-Not-Call rules. Buyer assumes all liability for contact attempts.
4.6 Security and Incident Notice. Buyer must implement reasonable administrative, technical, and physical safeguards for Lead Data. Buyer will notify LeadBid without undue delay of any actual or suspected unauthorized access, use, or disclosure of Lead Data and cooperate in remediation. Buyer is responsible for incidents caused by its acts or omissions.
5. Lead Accuracy; Fraudulent Submissions; Due Diligence
Lead Data is user-submitted by Sellers through online forms. LeadBid does not verify the identity of any Seller, property ownership, title status, or the accuracy or completeness of any Lead Data. Leads may be incomplete, inaccurate, outdated, or fraudulent. All Lead Data is provided “AS IS” at Buyer’s risk. Buyer must perform its own due diligence before relying on any Lead Data or entering into any transaction.
No Brokerage or Professional Advice
LeadBid is not a real-estate broker, agent, attorney, or fiduciary, and does not provide legal, tax, valuation, or investment advice. No brokerage, agency, or fiduciary relationship is created by use of the Service.
6. Payments; Billing; Refunds
6.1 Payments. Payments are processed by Stripe. LeadBid does not store full card details. You authorize LeadBid to charge your selected payment method for purchases, fees, and applicable taxes.
6.2 Failed Payments. We may suspend or terminate access to the Service for late, failed, or disputed payments.
6.3 Pricing Changes. We may change pricing or bidding structures prospectively upon notice. Changes do not affect completed purchases.
6.4 Refunds. Lead sales are final. Please see our Refund Policy for details. LeadBid does not provide refunds or credits for leads that are inaccurate, outdated, or fraudulent, except as expressly stated in the Refund Policy (e.g., documented duplicate delivery errors within a stated review window).
6.5 Chargebacks and Collections. If a charge is reversed or disputed, LeadBid may assess a reasonable chargeback fee and suspend Service until resolution, and may offset amounts owed against future payments. Buyer agrees to pay reasonable costs of collection, including attorneys’ fees.
7. Acceptable Use
You will not: (a) copy, reproduce, modify, reverse engineer, or create derivative works of the Service; (b) access the Service to build a competing service; (c) use robots, scrapers, or other automated means to access the Service (except via an authorized API, if any); (d) interfere with or disrupt the Service; (e) upload malware; or (f) use the Service in violation of law or these Terms.
8. Intellectual Property; Feedback
The Service (and all content other than Lead Data) is owned by LeadBid or its licensors and is protected by IP laws. These Terms do not transfer any IP rights except the limited license in §2.2. If you provide feedback or suggestions, you grant LeadBid a perpetual, worldwide, royalty-free license to use it without restriction.
9. Third-Party Services
The Service may reference or integrate third-party services (e.g., Stripe). Their terms and privacy policies govern your use of those services. LeadBid is not responsible for third-party services.
10. Privacy
Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and share information, including Lead Data practices and Buyer communications.
11. Disclaimers
THE SERVICE AND ALL LEAD DATA ARE PROVIDED “AS IS” AND “AS AVAILABLE.” LEADBID AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY LEAD DATA WILL BE CURRENT, COMPLETE, OR AUTHENTIC.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEADBID AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS; LOST DATA; OR PROCUREMENT COSTS, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.
IN NO EVENT WILL LEADBID’S TOTAL LIABILITY EXCEED FIFTY U.S. DOLLARS (US $50). MULTIPLE CLAIMS WILL NOT INCREASE THIS LIMIT.
13. Indemnification
Buyer will indemnify, defend, and hold harmless LeadBid, its affiliates, officers, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) Buyer’s use of Lead Data; (b) Buyer’s outreach or communications with Sellers; (c) Buyer’s breach of these Terms or violation of law (including TCPA, CAN-SPAM, and Do-Not-Call rules); or (d) User Content.
14. Termination
We may suspend or terminate your access to the Service at any time for any reason, including violation of these Terms or non-payment. Upon termination, your license ends and you must cease use of the Service and promptly delete all Lead Data in your possession, except as retention is required by law. Sections intended to survive (including §§4–5, 6–8, 11–18) will survive termination.
15. Changes to Terms
We may update these Terms from time to time. Material changes will be notified by email and/or via the Service and become effective 30 days after notice (or immediately for new users). Continued use after effectiveness constitutes acceptance.
16. Dispute Resolution; Arbitration; Class Waiver
PLEASE READ CAREFULLY. Any dispute arising out of or related to these Terms or the Service that cannot be resolved informally or in small-claims court will be finally resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be conducted by a single, neutral arbitrator in English. If a hearing is held, it will occur within 100 miles of your residence (or remotely by agreement). Judgment on the award may be entered in any court of competent jurisdiction.
Class Action Waiver. Disputes will be arbitrated only on an individual basis and not as a class or representative action. Jury Trial Waiver. The parties waive any right to a jury trial.
Small Claims & Injunctive Relief. Either party may bring an individual claim in small-claims court and may seek temporary injunctive relief in court to preserve the status quo.
If the arbitrator awards you more than our last written settlement offer, we will pay the greater of the award or $2,500.
If any part of this §16 is found unenforceable, the remainder will remain in effect.
17. Governing Law; Venue; Export
These Terms are governed by the laws of Puerto Rico, without regard to conflicts principles. For any dispute not subject to arbitration, the parties submit to the personal jurisdiction and venue of the state and federal courts located in San Juan, Puerto Rico. You agree to comply with all applicable export and import laws and regulations.
18. Force Majeure
LeadBid will not be liable for any delay or failure to perform due to events beyond its reasonable control, including internet outages, strikes, labor disputes, acts of God, natural disasters, or actions of third parties.
19. Beta Features
From time to time, LeadBid may make beta or experimental features available. Such features are provided “AS IS,” may be modified or discontinued at any time, and are excluded from any warranties or commitments.
20. Time to Bring Claims
Any claim arising out of or relating to the Service or these Terms must be filed within one (1) year after the claim accrues, or be permanently barred.
21. Electronic Signatures and Communications
You agree to transact electronically and that clicks, checkboxes, and electronic acceptances constitute your signature and consent for all purposes.
22. Publicity
With Buyer’s prior consent, LeadBid may use Buyer’s name and logo for identifying Buyer as a customer in marketing materials. Buyer may revoke consent at any time by written notice.
23. Access Limits
Automated access (including scraping, crawling, or API calls) is permitted only as expressly authorized by LeadBid and subject to rate limits. LeadBid may throttle, suspend, or revoke access that degrades the Service.
24. Miscellaneous
These Terms constitute the entire agreement between you and LeadBid regarding the Service and supersede prior agreements. If any provision is held unenforceable, it will be modified to the minimum extent necessary; the remainder will remain in effect. You may not assign these Terms without our consent; we may assign them. Headings are for convenience only, and “including” means “including without limitation.”
